What to put on a purchase order

A purchase order tells your supplier exactly what you are ordering, at what price, and where and when it should arrive. Include a PO number so both sides can refer to it, your business details and EIN, the supplier's details, a delivery address and date, each item with its quantity and unit price, sales tax if it applies, and your payment terms.

Questions

Is a purchase order legally binding?

It can be. A purchase order is usually an offer to buy. If the supplier accepts it, for example in writing, by starting the work or by shipping the goods, that can form a contract. If the supplier replies with different terms, that can be a counter-offer instead, and which terms apply depends on the facts and the law where you are. This is general information, not legal advice. In the US, the Uniform Commercial Code lets a seller accept an order for goods by shipping them (UCC 2-206).

What is the difference between a purchase order and an invoice?

A purchase order is sent by the buyer, requesting goods or services on stated terms. An invoice is sent by the supplier afterwards, asking to be paid for what was actually delivered. Use the button beside the PDF to turn this order into an invoice once the supplier accepts it.

Do I need to charge sales tax on a purchase order?

A purchase order is a request, not a tax invoice, so there is no rule requiring sales tax to be shown. This tool shows it anyway, at the rate you choose, so both sides can see the expected total before the order is confirmed.
